SALE OF NFTS (non-fungible tokens)

1. Introduction

1.1 These Terms and Conditions (the “Agreement”) govern the purchase, sale, and transfer of non-fungible tokens (“NFTs”) by and between Spice Journeys GmbH, hereinafter referred to as the “Seller,” and the buyer, hereinafter referred to as the “Buyer.”

1.2 By accessing or using the Seller’s chosen platforms for purchasing NFTs, the Buyer agrees to be bound by these Terms and Conditions.

2. NFT Sale

2.1 The Seller has selected Nifty Gateway, Foundation, wise.art, opensea and other NFT sales platforms tolist and sell NFTs.

2.2 The NFTs listed for sale may include, but are not limited to, digital artwork, collectibles, digital real estate, and virtual goods.

2.3 The Buyer may purchase NFTs from the Seller through the Seller’s chosen platforms.

2.4 The purchase of an NFT does not transfer any underlying intellectual property rights associated with the NFT to the Buyer.

3. Ownership and Transfer

3.1 Upon successful payment for an NFT, the Seller will transfer ownership of the NFT to the Buyer’s provided digital wallet address.

3.2 The Buyer acknowledges that the NFT transfer is irreversible, and the Seller shall not be liable for any loss or damage resulting from errors in the Buyer’s wallet address.

4. Payment

4.1 The Buyer agrees to pay the purchase price as specified on the Seller’s chosen platforms, which may include, but is not limited to, cryptocurrencies and fiat currencies.

5. Refunds

5.1 All sales of NFTs are final, and the Seller does not offer refunds.

6. License and Use

6.1 The Buyer is granted a personal, non-exclusive, non-transferable license to use, display, and transfer the NFT, subject to these Terms and Conditions.

6.2 The Buyer may not sublicense, rent, or otherwise commercially exploit the NFT.

7. Prohibited Activities

7.1 The Buyer agrees not to engage in any unlawful, fraudulent, or malicious activities related to the NFTs or the Seller’s chosen platforms.

7.2 The Buyer shall not reproduce, distribute, publicly display, or create derivative works based on the NFT without the explicit consent of the Seller.

8. Intellectual Property

8.1 The Seller retains all intellectual property rights associated with the NFTs, including but not limited to copyrights and trademarks.

9. Dispute Resolution

9.1 Any disputes arising out of or relating to this Agreement shall be resolved through arbitration in accordance with the rules of the ordinary courts of Zug (city).

10. Limitation of Liability

10.1 To the extent permitted by law, the Seller shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use or inability to use the NFTs or the Seller’s chosen platforms.

11. Termination

11.1 The Seller reserves the right to terminate this Agreement and revoke the Buyer’s license to use the NFTs if the Buyer violates these Terms and Conditions.

12. Changes to Terms and Conditions

12.1 The Seller may update or modify these Terms and Conditions at any time, with or without notice to the Buyer. It is the Buyer’s responsibility to review these Terms and Conditions periodically.

13. Governing Law

13.1 This Agreement shall be governed by and construed in accordance with the laws of the ordinary courts of Zug (city).
